Terms of Service

These Terms of Service ("Terms") govern your use of hawaiiregisteredagent.co (the "Site") and the registered agent services ("Services") provided by Hawaii Registered Agent.co ("we," "us," or "our"). By accessing the Site or using the Services, you agree to be bound by these Terms.

1. Scope of Services

Hawaii Registered Agent.co provides:

• A registered agent address in Honolulu, Hawaii for your business entity
• Acceptance of service of process, legal papers, and government correspondence during business hours
• Same-day scanning and electronic delivery of all received documents
• Compliance reminders for Hawaii annual report deadlines
• Secure online portal access for document retrieval

2. Who May Use Our Services

You must be 18 or older and authorized to act on behalf of the business entity being registered. You agree to provide truthful and current information during enrollment and throughout your service term.

3. Fees and Payment

• Annual service fee: $99
• Payment is collected at enrollment and upon each renewal
• Accepted payment methods are listed on the Site
• Failed payments will be followed by notification; Services may be suspended until payment is resolved
• We may adjust pricing with at least 30 days' advance notice before your renewal date

4. Service Duration and Renewal

Service begins on your enrollment date and runs for one year. It renews automatically at the then-current rate unless you cancel prior to renewal.

5. Client Responsibilities

You agree to:

• Keep your entity information accurate and current in our records
• Notify us promptly of name changes, contact updates, or entity status changes
• Retrieve and act on forwarded documents within a reasonable timeframe
• Maintain your entity in good standing with the Hawaii Secretary of State
• Properly designate us as your registered agent through the appropriate state filing

6. Document Processing

• Documents are accepted at our registered address during business hours (Monday through Friday, 9 AM to 5 PM PT, excluding Hawaii state holidays)
• Received documents are scanned and emailed on the same business day
• We bear no responsibility for the content or legal implications of documents received
• Physical documents are stored for a limited period and then securely destroyed

7. No Legal or Tax Advice

Hawaii Registered Agent.co is not a law firm, CPA firm, or licensed advisor of any kind. Our role is limited to registered agent functions. We do not interpret documents, provide legal opinions, or offer tax guidance. Consult licensed professionals for those needs.

8. Liability Limitations

To the maximum extent allowed by law:

• Our total liability is capped at the fees you paid during the 12 months preceding any claim
• We exclude liability for indirect, incidental, consequential, special, or punitive damages
• We are not liable for your failure to act on forwarded documents
• We are not liable for delays caused by circumstances beyond our reasonable control (natural disasters, postal disruptions, government shutdowns)

9. Indemnification

You agree to indemnify and hold harmless Hawaii Registered Agent.co, its owners, employees, and contractors from claims, damages, losses, and expenses (including legal fees) arising from your use of the Services or breach of these Terms.

10. Cancellation

• Cancel anytime by emailing support@hawaiiregisteredagent.co
• Cancellation is effective at the end of your current paid term
• No partial refunds for unused service time, except at our discretion
• You must file a new registered agent designation with the Hawaii Secretary of State upon cancellation

11. Suspension or Termination by Us

We may suspend or terminate Services if:

• Payment remains outstanding after notice
• You provide materially false information
• Your use of Services violates law
• Continued service would create legal exposure for us

12. Governing Law

These Terms are governed by the laws of the State of Hawaii. Disputes arising from these Terms or Services will be resolved in courts located in Hawaii.

13. Amendments

We may update these Terms. Updated versions are posted here with a new effective date. Continued use after posting constitutes acceptance.

14. Severability

If any provision is held unenforceable, the remaining provisions continue in full force.

15. Complete Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Hawaii Registered Agent.co regarding the Services.
